چکیده
وقوع حوادث زیان بار برای بشر امری اجتناب ناپذیر است؛ لذا همواره بشر به دنبال وضع قواعدی بوده که بر اساس آن مسئولیت را به شخصی تحمیل نماید که بیشترین نقش را در حادثه زیان بار داشته است. از این رو، تمام رسالت مسئولیت مدنی شناسایی چنین قواعدی است. سبدگردان در بورس اوراق بهادار در قبال مشتریان و نیز سازمان بورس وظایفی برعهده دارد که ممکن است در این راستا با انجام فعالیتی موجب ورود ضرر و خسارت به دیگری شود؛ بنابراین در این خصوص مسئول بوده، ملزم به جبران است. اجرای تعهدات ناشی از قرارداد یکی از مباحث مهم حقوق قراردادهاست. در حقوق ایران درصورتی که یکی از طرفین عقد از انجام تعهدات قراردادی خویش خودداری نماید، ضمانت اجرای آن در قالب موارد متعدد قانونی در عقود مختلف بیان شده است. در این مقاله ﻣﺴﺌﻮﻟیﺖ مدنی شرکت سبدگردان، با موضوع «ﻋﺪم ایفای تعهدات مربوط به قرارداد سبدگردانی» ﺑﺎ ﺗکیﻪ ﺑﺮ یکی از آرای هیئت داوری بورس اوراق ﺑﻬﺎدار، ﻣﻮرد ﻣﻄﺎﻟﻌﻪ ﻗﺮار گرفته است.A Review of the Civil Liability of Portfolio Management Companies in Iranian Law
The occurrence of harmful events for human beings is inevitable. Therefore, human beings have always sought to establish rules to impose responsibility on the person who has played the most important role in the harmful incident. Hence the whole mission of civil liability is to identify such rules. The portfolio management company in the stock exchange, in relation to customers and the stock exchange organization, has responsibilities that may cause damage to another by performing an activity in this regard, so it is responsible in this regard and is required to compensate. Execution of contractual obligations is one of the important issues in contract law. In Iranian law, if one of the parties to the contract refuses to fulfill its contractual obligations, the guarantee of its implementation is stated in the form of several legal cases in various contracts. In this article, the civil Liability of the portfolio company, with the subject of "fulfilling the obligations related to the portfolio management contract" has used the votes of the board of directors of the stock exchange.
